These Terms of Service ("Terms") govern your purchase and use of the software products distributed by Olune Studio ("we", "us", "our") via olunestudio.com. By purchasing, downloading, activating, or using any Olune plugin, you agree to be bound by these Terms. If you do not agree, do not purchase, install, or use our software.
This document is provided in good faith as the working agreement between Olune Studio and its customers. It does not constitute legal advice. Customers in regulated jurisdictions should review with their own counsel.
1. Definitions
"Software" means the Olune Skin plugin, Olune Beauty plugin, the Olune Bundle (containing both), and any future plugin or update distributed by Olune Studio. "License Key" means the unique alphanumeric code issued to you upon purchase in the format OLUNE-<PRODUCT>-XXXX-XXXX-XXXX. "Activation" means associating a License Key with a specific computer device. "Customer", "you", and "your" mean the person or legal entity that purchased a license.
2. License Grant
Subject to your full compliance with these Terms and timely payment of all applicable fees, Olune Studio grants you a perpetual, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on up to two (2) personally-owned or company-owned computer devices, for personal or commercial photography and design work. The license is granted to the original purchaser only and is not assignable to a third party without our written consent. You may reassign an activation between devices you own by deactivating one and activating another.
3. Permitted Use
You may use the Software to retouch photographs and produce visual works for any lawful purpose, including paid client work. The visual works you produce using the Software are yours; we claim no rights over your output. You may install the Software on a primary workstation and a secondary device (such as a laptop), provided no more than two activations are in use at any time.
4. Restrictions — Intellectual Property Protection
All right, title, and interest in and to the Software, including without limitation the source code, compiled binaries, panel UI, icons, illustrations, design system, brand marks ("Olune", "Olune Studio", "Olune Skin", "Olune Beauty"), documentation, marketing copy, and the underlying retouching algorithms and parameter values, are and remain the exclusive property of Olune Studio, protected by copyright, trade-secret, trademark, and other intellectual-property laws of the United States, the European Union, Brazil, and applicable international treaties (including the Berne Convention and the WIPO Copyright Treaty). You expressly agree that you will NOT, and will not permit any third party to: (a) reproduce, copy, duplicate, mirror, or republish the Software or any portion thereof; (b) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or trade secrets of the Software; (c) modify, adapt, translate, or create derivative works based on the Software; (d) rent, lease, lend, sell, redistribute, sublicense, transfer, or otherwise commercially exploit the Software or your License Key; (e) circumvent, disable, or remove any license-enforcement, activation, watermarking, or technical-protection mechanism; (f) use the Software to build a competing product or service; (g) remove, alter, or obscure any copyright, trademark, or proprietary notices. Each restriction in this Section is a material term; violation may result in immediate license termination and legal action.
5. Ownership and Reservation of Rights
The Software is licensed, not sold. Except for the limited license expressly granted in Section 2, no rights of any kind are transferred to you. All rights not expressly granted are reserved by Olune Studio.
6. Refund Policy
We offer a fourteen (14) day no-questions-asked refund window measured from the date of your original purchase. To request a refund, email support@olunestudio.com from the address used at purchase, with your order number or License Key, within 14 days. Upon refund approval, your License Key will be revoked and the Software will deactivate on your devices on the next license-validation check. Refunds will be returned to the original payment method within 5 to 10 business days. After the 14-day window, all sales are final. Refunds may be denied in cases of evident abuse, including but not limited to chargebacks initiated after activation, attempts to obtain a refund while continuing to use the Software, or violation of Sections 3 or 4.
7. Lifetime Updates
Each license includes lifetime updates: bug fixes, security patches, compatibility updates for new Adobe Photoshop versions, and new features released within the same product line, at no additional cost, for as long as Olune Studio continues to publish updates. Lifetime is defined as the operational lifetime of the product line; we may discontinue a product or merge it into a successor product, in which case ongoing support shifts to the successor.
8. Activation, License Validation, and Devices
Upon first activation, the Software stores your License Key locally and registers a device fingerprint (a hashed identifier derived from the device hostname, operating-system user, and platform). The Software validates the license online every 24 hours during the first 120 days following purchase; after that period, the license is trusted indefinitely on activated devices. Offline operation is supported: if license validation fails because of a network error, the Software continues to function. We reserve the right to revoke a License Key for material breach of these Terms, evidence of credential sharing, or fraudulent payment. Revoked keys cause the Software to deactivate on the next validation.
9. Compliance with Adobe Terms
The Software is distributed as an Adobe UXP plugin and operates within Adobe Photoshop. Your use of Photoshop remains subject to your separate agreement with Adobe Inc. You are responsible for maintaining a valid Photoshop subscription. We are not affiliated with, endorsed by, or sponsored by Adobe Inc.
10. DMCA and Copyright Enforcement
If you believe content on olunestudio.com infringes your copyright, send a notice to support@olunestudio.com that includes: (a) your contact information, (b) identification of the copyrighted work, (c) the URL of the infringing material, (d) a statement of good faith belief that the use is not authorized, (e) a statement under penalty of perjury that the information is accurate and that you are authorized to act, and (f) your physical or electronic signature. We will respond to valid notices in a timely manner consistent with the U.S. Digital Millennium Copyright Act and equivalent legislation in other jurisdictions.
11. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY OLUNE STUDIO OR ITS REPRESENTATIVES SHALL CREATE A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS THIS DISCLAIMER APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OLUNE STUDIO, ITS OWNERS, OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SOFTWARE IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID FOR THE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
13. Indemnification
You agree to indemnify, defend, and hold harmless Olune Studio and its owners from and against any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your violation of any third-party right, including intellectual-property rights; or (c) your unlawful use of the Software.
14. Termination
These Terms remain in effect until terminated. We may suspend or terminate your license immediately upon material breach of Sections 4 (Restrictions), 6 (Refund Abuse), or 13 (Indemnification). Upon termination, you must immediately cease using the Software and destroy all copies in your possession. Sections 4, 5, 11, 12, 13, 16, and 17 survive termination.
15. Modifications to These Terms
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or product offerings. Material changes will be reflected by an updated "Last updated" date and, where appropriate, by email notice. Continued use of the Software after a modification takes effect constitutes acceptance of the revised Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the United States, and any dispute arising out of or relating to the Software or these Terms shall be resolved in a court of competent jurisdiction in the United States. Customers based in the European Union retain the mandatory consumer protections afforded by EU consumer law; customers in Brazil retain the mandatory consumer protections under the Código de Defesa do Consumidor. Nothing in this Section limits those mandatory protections.
17. Miscellaneous
Severability: if any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Waiver: failure to enforce a right is not a waiver of that right. Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Olune Studio regarding the Software and supersede any prior agreements on the same subject. Force majeure: neither party is liable for delays caused by events beyond reasonable control. Assignment: you may not assign these Terms; we may assign upon notice.
